This course focuses on corporate and commercial law with an emphasis on contract law, principal-agent relationships, business organizations and the incorporation of an Ontario company including the role of directors, officers and shareholders. Emphasis on corporate and administrative procedures which involve preparing and filing articles of incorporation; preparing and filing relevant incorporation-related documents that relate to the composition of a corporation i.e. articles of amendment, annual returns, extra-provincial filings and dissolutions; organizing a corporate minute book; financing issues and relevant searches; and share purchase agreements.
